These Terms of Service govern your use of the sibool.io website and any engagement with services provided by Sibool Innovación (“Sibool,” “we,” “us,” or “our”). By using this website or engaging our services, you agree to these terms. Specific projects are governed by a separate written service agreement — these terms apply in addition to and not in replacement of that agreement.

1. Services

Sibool provides custom software development, website design and development, mobile application development, AI-powered technology solutions, and website care and maintenance plans. Pricing on this website is indicative. All engagements are confirmed through a written service agreement, which is the binding document for scope, fees, and deliverables.

2. Quotes and Pricing

Prices shown on this website are starting floors in Philippine Peso and are VAT-exclusive. A formal written quote is required before any work begins. Prices are subject to revision at any time — the price in your signed service agreement is the binding price for your project.

3. Payment Terms

A downpayment of fifty percent (50%) of the agreed project fee is required before work begins. The remaining balance is due upon delivery and approval of the final output, before deployment to production. Care plan fees are billed monthly in advance. Amounts unpaid for more than fifteen (15) days from the due date accrue a late charge of three percent (3%) per month. Services may be suspended for accounts more than thirty (30) days overdue, upon seven (7) days written notice.

4. Client Responsibilities

Clients are responsible for providing all content (text, images, branding, and business information) required for their project in usable digital form. Project timelines begin only upon receipt of complete content and the required downpayment. Delays in providing content extend the timeline accordingly and do not constitute a breach by Sibool.

Clients warrant that all content provided is owned by or licensed to them and does not infringe any third-party rights. Clients indemnify Sibool against any claims arising from client-supplied content.

5. Revisions and Change Requests

Website development engagements include one (1) consolidated round of revisions. Additional revision rounds are billed at ₱2,500 per round. After launch, modifications to content, design, or structure are billed as change requests at rates stated in the service agreement, subject to a minimum charge of ₱1,000 per request. Defects in the delivered work are corrected at no charge within thirty (30) days of launch.

6. Intellectual Property

Upon receipt of full payment, ownership of the final design and client-specific code transfers to the client. Sibool retains ownership of its pre-existing tools, frameworks, templates, and general-purpose code, and grants the client a perpetual, non-exclusive, royalty-free license to use these as incorporated in the delivered work.

Sibool may display completed work and a general description of the engagement in its portfolio and marketing materials. Clients may opt out of portfolio use by written notice.

7. Warranties and Limitation of Liability

Sibool warrants that delivered work will function substantially as agreed on current versions of major browsers as of the delivery date. Sibool does not warrant the uninterrupted operation of third-party services (including hosting platforms, payment processors, or mapping services) and makes no guarantee of business results, sales, or search engine rankings.

To the maximum extent permitted by Philippine law, Sibool's total aggregate liability for any claim arising from a service engagement shall not exceed the total fees actually paid by the client in the twelve (12) months preceding the claim. Neither party shall be liable for indirect, incidental, or consequential damages, including lost profits.

8. Website Use

This website is provided for informational purposes. You may not use it in any way that is unlawful, harmful, or that could damage the reputation of Sibool Innovación. We reserve the right to update or remove content at any time without notice.

9. Third-Party Links

This website may contain links to third-party websites (including LinkedIn and project portfolio links). Sibool is not responsible for the content, accuracy, or privacy practices of any third-party site. Links are provided for convenience only.

10. Governing Law

These terms are governed by the laws of the Republic of the Philippines. Any dispute shall be submitted first to good-faith negotiation. Failing resolution within thirty (30) days, disputes shall be brought before the proper courts of the Philippines, to the exclusion of all other venues.

11. Changes to These Terms

We may update these Terms of Service at any time. The effective date at the top of this page reflects the most recent revision. Continued use of this website after changes constitutes acceptance of the updated terms. Active service agreements are governed by the terms in the signed agreement and are unaffected by changes to this page.
